1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SailWith.ai ("Company," "we," "our," or "us") governing your access to and use of the SailWith.ai platform, website, and related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

SailWith.ai provides an AI-powered sales assistant platform designed to help sales teams handle calls, qualify leads, and manage customer interactions. Our Services include:

  • AI-powered voice assistant for sales calls
  • Lead qualification and routing
  • CRM integrations and data synchronization
  • Call recording, transcription, and analytics
  • Scheduling and calendar management
  • Reporting and performance insights

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use strong, unique passwords for your account
  • Not share your login credentials with others
  • Immediately notify us of any unauthorized access or security breach
  • Log out of your account at the end of each session

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. Our Services are designed for business use and are not intended for personal or consumer applications.

4. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Scrape, data mine, or use automated means to access the Services without permission
  • Reverse engineer, decompile, or attempt to extract source code from our software

4.2 Compliance with Laws

You are responsible for ensuring that your use of the Services complies with all applicable laws, including but not limited to telecommunications regulations, data protection laws, and recording consent requirements in your jurisdiction.

5. Subscription and Payment Terms

5.1 Subscription Plans

Access to our Services requires a paid subscription. Details of available plans, features, and pricing are available on our website. We reserve the right to modify pricing with 30 days' advance notice.

5.2 Payment

  • All fees are quoted in GBP unless otherwise specified
  • Fees are non-refundable except as expressly stated in these Terms
  • You authorize us to charge your payment method for all fees when due
  • Subscriptions automatically renew unless cancelled before the renewal date
  • Failure to pay may result in suspension or termination of your account

5.3 Free Trials

We may offer free trial periods. At the end of the trial, your account will be charged unless you cancel before the trial ends. Trial offers are limited to one per customer.

5.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Services, except for taxes based on our net income.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services and all related content, features, and functionality are owned by SailWith.ai and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written consent.

6.2 Your Content

You retain ownership of any content, data, or materials you submit through the Services ("Your Content"). By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store Your Content solely for the purpose of providing the Services to you.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without restriction or compensation to you.

7. Data and Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

8. Third-Party Integrations

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF OUR SERVICES.

THE AI-POWERED FEATURES OF OUR SERVICES MAY PRODUCE INACCURATE OR INCOMPLETE RESULTS. YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ANY OUTPUT BEFORE RELYING ON IT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAILWITH.AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless SailWith.ai and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Your Content or data you submit through the Services

12. Term and Termination

12.1 Term

These Terms commence when you first access or use our Services and continue until terminated by either party.

12.2 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Termination does not entitle you to any refund of prepaid fees.

12.3 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. We may terminate immediately if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties.

12.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your account and data in accordance with our data retention policies. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved within 30 days, either party may submit the dispute to the exclusive jurisdiction of the courts of England and Wales.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and SailWith.ai regarding the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.

We may provide notices to you via email, through the Services, or by posting on our website. Notices to us should be sent to legal@sailwith.ai.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we may also provide additional notice, such as an email notification. Your continued use of our Services after any changes indicates your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services.
